I am looking for a general outline
or a sample of a confidentiality agreement / waiver for our employee handbook.
We are a public company, and are updating the employee handbook.

The following is from my organization's Employee Handbook, re confidentiality.
" (Employee) agrees that any and all information obtained by or disclosed to him/her at any time during his/her employment with (Company) which is not generally known to the public, including, but not limited to, information concerning (Company's) customers, methods of operation, processes, practices, policies, programs, and procedures, and/or personnel data, are strictly confidential and/or proprietary to (Company), constitute trade secrets of (Company) and shall not be disclosed, discussed, or revealed to any persons, entities, or organizations, outside of (Company), without prior written approval of (Company."
This statement is very comprehensive and formal in tone, and is suitable for this organization. You may wish to make your statement fit the nature of your particular business.
