Generally speaking, a "key employee" is any employee who possesses any knowledge of the company (or its financial performance) that is not available to the general public. In the case of stock sales, key employees are prevented from trading from 30 days prior to 5 days after release of financials. If you have a benefits advisor/broker or a stock plan management company, they should be able to provide you with detailed regulations.
